2017年12月1日 · 開曼公司法上的實質受益人概念. 依據2017年新修正開曼公司法及相關法令規定，除上市公司、受開曼金融主管機關監管的公司、其他符合豁免條件的公司及其等之子公司外，開曼公司須在其註冊辦事處備置實益擁有權登記冊（beneficial ownership register)。 按開曼公司法及相關法令規定，所稱實益擁有人（beneficial owner）或實質受益人，係指直接或間接持有公司股權或表決權超過25%之人，或有權直接或間接任免公司過半數董事之人；如無前述之人，則透過股權、表決權或董事任免權，能絕對和無條件地有權或實際上控制公司、或對其施加重大影響之人，也將被認為實質受益人，但純粹以公司董事、專業顧問或專業經理人的身分而控制或施加重大影響者除外。
To enhance transparency of corporate beneficial ownership in order to fulfil Hong Kong’s international obligations, the Companies Ordinance (Cap. 622) is amended to require a company incorporated in Hong Kong to obtain and maintain up-to-date beneficial ownership information by way of keeping a Significant Controllers Register.
