田博士认为，中国企业在加速海外并购的同时，如何管理被并购的海外企业对中国企业来说是一个巨大的挑战。 “在并购海外企业后，中国公司总部会派驻代表去管理国外子公司。而子公司员工可能对“空降”的管理层有隔阂感。比如，子公司员工可能不习惯新的管理方式，也担心管理层变动会导致他们自身工作环境产生变数。” 田博士认为，被并购企业的企业文化也会有影响。以英国企业为例，有些人会在一个岗位上干很多年。 “由于英国员工已经习惯了稳定性高、规则性强的工作体系，他们对工作中的人和事有一种本地观念。这群人可能非常保守、缺乏创新精神，不愿以开放的心态看待新管理层。管理这样一群人，对于想大刀阔斧谋发展的中国管理层来说是很大的挑战。” 田博士认为，如果中国企业和被并购的海外企业之间缺乏理解和共识，被并购企业员工可能会表现出...
在真实的商业环境中，在组织内部共享知识和技能对于公司的成功不可或缺。“被并购公司员工表现出强烈的‘退缩行为’时，他们不愿意和中国总部派来的员工进行互动，也不会分享他们的经验和专业技能。”田博士说。 “有些知识可以通过文字方式被记录下来，所有人都可以学习。但有些知识，比如创意和经验，只能通过沟通和互动的方式来传授。我们把这样的知识叫做‘隐性知识’，如果没有开放合作，公司里其他人很难学到这类知识。” “并购后，最好的情况是双方都以开放的姿态迎接彼此，达到双赢。如果双方都不愿意合作的话，工作就没办法顺利开展。” 尽管海外并购带来了许多挑战，但田博士认为，总的来讲，中国企业在管理海外子公司方面做得很好，他们坦诚沟通，打消了许多海外员工的疑虑。 田博士指出，并购要取得全面成功，最重要的一点是实施并购和...
